Terms and Conditions

Welcome to Mia! These Terms and Conditions ("Terms") govern your access to and use of the Mia personal relationship manager application and services (collectively, the "Service"). By creating an account or using Mia, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Mia is a personal relationship manager app designed for freelancers, entrepreneurs, salespeople, and other professionals to manage their network. The app helps you capture and organize contact details, write custom bios and notes about people you meet, summarize meetings, set follow-up reminders, and easily share your digital business card via email or WhatsApp. The following Terms explain your rights and responsibilities when using Mia.

Mia is provided by Purple Brains, a company registered in Beirut, Lebanon (referred to as "we", "us", or "our"). In these Terms, "you" refers to you as the user of Mia. Please read these Terms carefully to understand your rights and responsibilities. If you have any questions, feel free to contact us.

1. Account Registration and Eligibility

  • Eligibility: You must be at least 18 years old to use Mia. By using the Service, you represent that you are 18 or older and capable of entering into a binding agreement.
  • Account Creation: To access many features of Mia, you need to create an account. You can sign up with a valid email address and password or use a supported third-party login (such as Google Sign-In). You agree to provide accurate, current, and complete information during registration and to keep it updated.
  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or let others access your account. If you believe your account has been compromised or unauthorized activity is occurring, please notify us immediately at support@miaprm.app.
  • Account Responsibility: You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from unauthorized use of your account if you fail to safeguard your credentials.

2. Permitted Use of Mia

We grant you a personal, non-transferable, non-exclusive, revocable license to use the Mia app and Service in accordance with these Terms. This license is for the sole purpose of enabling you to use and enjoy Mia's features as intended by us.

By using Mia, you agree to:

  • Use the Service only for your personal or professional networking and contact management purposes.
  • Comply with all applicable laws and regulations, and not use Mia for any fraudulent or illegal activities.

3. User Responsibilities and Acceptable Use

We strive to make Mia a helpful and secure tool for everyone. By using the Service, you agree that you will not:

  • Break the Law: Do not use Mia to violate any law or regulation. This includes not using the App to engage in fraud, money laundering, harassment, stalking, or any other unlawful behavior.
  • Abuse or Harass: Do not use Mia to threaten, abuse, or harass any person, or to post or share any content that is offensive, defamatory, obscene, or otherwise objectionable. Treat others with respect.
  • Spam or Unauthorized Communications: Do not use Mia to send unsolicited or unauthorized advertising, promotional materials, or spam. When you share your digital business card or send follow-up messages through Mia, ensure that the recipients have agreed to receive such communications from you.
  • Infringe Rights: Do not upload or share content in Mia that you do not have the right to use. For example, do not import contact information that you obtained unlawfully, and do not include material (like photos or text) that infringes on someone else's intellectual property or privacy rights.
  • Interfere with the Service: Do not attempt to disrupt or interfere with Mia's proper operation. This means no introducing viruses, malware, or any other code that could harm the app, and no attempts to hack, crash, or overburden our infrastructure.
  • Reverse Engineer or Misuse: Do not attempt to reverse engineer, decompile, or extract the source code of Mia. Also, do not misuse the AI assistant or other features in a way that could harm others or violate OpenAI's or Azure's usage policies (for example, do not try to generate disallowed content via the AI feature).

We reserve the right to suspend or terminate your account if we believe you are violating any of these rules or otherwise misusing the Service (see Termination below).

4. User Content and Data

Mia allows you to input and store information, including personal data about you and your contacts, notes, meeting summaries, and other content ("User Content"). You retain all rights to your User Content. We do not claim ownership of the information you add to Mia.

However, by using Mia and uploading or entering User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and (where needed) modify your content solely for the purpose of operating and improving the Service. For example, we may format your contact notes for display in the app, or process your input through our AI feature to give you a summary. This license is limited to those purposes – we will never use your content for advertising or share it with third parties except as described in our Privacy Policy.

Your Responsibilities for Content:

You are solely responsible for the User Content you provide. By adding content to Mia, you promise that:

  • You have the right and permission to use and share that content. For instance, if you input someone else's contact information, you have obtained it lawfully (e.g., they gave you their business card or consent to be contacted).
  • The content is accurate to the best of your knowledge.
  • Your User Content does not violate any of the "Acceptable Use" rules above (e.g., it's not illegal, offensive, or infringing on someone's rights).

We do not routinely monitor the content that users store in Mia, but if we become aware of content that violates these Terms or the law, we may remove it or disable access to it.

Privacy:

Our Privacy Policy explains how we handle your personal data and User Content. By using Mia, you acknowledge that you have read our Privacy Policy. Keep in mind that any personal data you input about others (for example, contacts) will be processed by us as described in the Privacy Policy. If you share someone's information through Mia (e.g., sending a digital business card), you are responsible for ensuring that sharing is appropriate and complies with any privacy obligations you may have to that person.

5. Third-Party Services and Links

Mia integrates with or may contain links to third-party services that we do not own or control. For example:

  • You may choose to sign in via Google, which is governed by Google's terms and privacy policy.
  • If you send an email through Mia (such as sharing a business card), that email may be sent via an email service or your own email account.
  • If you share information via WhatsApp or another messaging app, that message is handled by the third-party application (WhatsApp, etc.), and their terms and privacy policy apply.
  • Mia's AI assistant feature is powered by OpenAI, and scanning uses Microsoft Azure. While we have integrated these services to work within Mia, they are ultimately provided by third parties.

Please note:

When you use these third-party services, their own terms and privacy policies will govern your use of those services. We are not responsible for the content, policies, or actions of any third-party platforms. If you leave the Mia app via a link or integrate with a third-party, you do so at your own risk.

However, if you have any issues arising from these integrations, we'd like to know – please reach out to support and we will see if there's any way we can help facilitate a solution.

6. Intellectual Property Rights

All rights, title, and interest in and to the Mia application and the Service (excluding your User Content) are and will remain the exclusive property of Purple Brains and its licensors. This includes the software, look and feel of the app, logos, trademarks (such as the "Mia" name and logo), and all content provided by us (such as any text, graphics, or tutorials we provide in the app).

You may not use our name, logos, or trademarks in any way without our prior written consent, except as necessary for you to use the Service for its intended purpose (for example, you may use the app interface that includes our logo).

You agree not to copy, distribute, modify, or create derivative works based on any part of Mia or our content, unless we give you explicit permission. Any breach of our intellectual property rights or this license may result in termination of your right to use the Service.

7. Termination

By You:

You can stop using Mia at any time. You may also delete your account by following the instructions in the app settings or contacting support. Deleting your account will terminate your license to use Mia and remove your access to the Service. Please consult our Privacy Policy to understand how we handle the data deletion process.

By Us:

We reserve the right to suspend or terminate your access to Mia (in whole or in part) at our discretion, with or without notice, if:

  • You violate any of these Terms or our policies (including the Privacy Policy and Acceptable Use rules).
  • We believe your use of Mia poses a security risk or could adversely impact other users or us.
  • We decide to discontinue the Service (if, for example, Mia is no longer being supported or offered).

If we terminate your account due to a breach of these Terms, we will try to notify you (e.g., via the email associated with your account) explaining the reason and any steps you might take to resolve the issue (if applicable). In cases of serious or repeated violations, or if we are required by law, termination may be immediate without notice.

After termination (by you or us), your right to access and use Mia will cease. We may delete your User Content from our active systems after account termination, except to the extent we are required or permitted to retain information under our Privacy Policy (for example, for legal compliance or backup purposes).

8. Disclaimers

Mia is provided to you on an "as is" and "as available" basis. While we strive to provide a great service, there are some things we need to disclaim legally:

  • No Warranty: We make no warranties or representations, express or implied, about Mia. This includes no warranties of merchantability (fitness for ordinary use), fitness for a particular purpose, non-infringement, or that the Service will meet your specific needs.
  • Operation and Accuracy: We do not guarantee that Mia will be uninterrupted, error-free, or completely secure. We also do not guarantee the accuracy or completeness of any information or suggestions provided through the Service (for example, the correctness of contact details extracted from a business card, or the content generated by the AI assistant). Use your best judgment when relying on information from the app.
  • No Responsibility for Loss: You agree that your use of Mia is at your own risk. Purple Brains is not responsible for any damage to your device, loss of data, or any harm that results from your access to or use of the Service. We encourage you to keep backups of important contact information outside of the app as well, just to be safe.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, our warranties will be limited to the minimum extent permitted by applicable law.

9. Limitation of Liability

To the fullest extent permitted by law, Purple Brains (and its owners, employees, and partners) will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising from:

  • Your access to or use of (or inability to access or use) Mia;
  • Any conduct or content of any third party on the Service (such as someone misusing the app or violating these Terms);
  • Any content obtained from the Service (including any decisions you make based on information or suggestions from Mia); and
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall Purple Brains's total liability to you for all claims arising out of or relating to the Service or these Terms exceed the amount you paid to us (if any) in the 12 months immediately preceding the event that gave rise to the claim, or USD $50, whichever is greater. If you have not paid anything (for example, if you are using the free version of Mia), we shall have no liability to you for any damages, to the maximum extent allowed by law.

Some jurisdictions do not allow certain limitations of liability. If laws applicable to you and these Terms prevent the full enforcement of the above limitation, then we will be liable to you only to the minimal extent required by law.

10. Indemnification

You agree to indemnify and hold harmless Purple Brains and its affiliates, officers, agents, and employees from and against any claims, disputes, demands, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use or misuse of Mia,
  • Your violation of these Terms, or
  • Your violation of any applicable law or rights of another (for example, if you add a person's contact information to Mia without their permission and that leads to a legal claim, or if you misuse the AI feature to generate harmful content).

We reserve the right to handle our legal defense as we see fit, including choosing our counsel, in any case where you are required to indemnify us. You agree to cooperate with us in defending such claims.

11. Changes to the Service and Terms

Mia is an evolving service. We may update or change the Service (for example, add or remove features) at any time. We will try to give you notice when major changes occur, but this may not always be practical.

Similarly, we may update these Terms from time to time. If we make significant changes, we will notify you either through the App, by email, or by other reasonable means. The updated Terms will be posted with a new "Last Updated" date. It's important you review the changes. By continuing to use Mia after the new Terms take effect, you agree to the revised Terms. If you do not agree with the changes, you should stop using the Service and, if applicable, delete your account.

12. Governing Law and Dispute Resolution

These Terms and any dispute arising from your use of Mia are governed by the laws of Lebanon, without regard to its conflict of law principles. By using Mia, you agree that any disputes or claims will be subject to the exclusive jurisdiction of the courts located in Beirut, Lebanon, unless otherwise required by applicable consumer protection laws.

We also want to note that you may have certain rights under the law of your own country. Nothing in these Terms is intended to limit your rights that cannot be limited by law. If you are a consumer in the European Union, you may have additional rights under EU law, and these Terms should be read in light of those laws.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Purple Brains regarding your use of Mia. They supersede any prior agreements or communications (whether oral or written) about the Service.
  • Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • No Waiver: If we do not enforce a provision of these Terms, it does not mean we waive our right to do so later. Any waiver of rights by us must be made explicitly in writing.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms to anyone else without our prior written consent. We may transfer our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets, or by operation of law.
